Welcome to Novadrive AB ("Novadrive", "we", "our", or "us"). These Terms of Service ("Terms") govern your use of our website, services, and any related content provided by Novadrive in connection with our building method comparison and construction analysis services.

User Obligations

Payment and Billing

Payment terms for our services will be specified in individual service agreements or quotations. Unless otherwise agreed:

• Payment is due within 30 days of invoice date
• All prices are quoted in Euros (EUR) and exclude applicable VAT
• Late payment may result in suspension of services
• Disputed charges must be reported within 30 days of invoice

Intellectual Property

The content, features, and functionality of our website and services, including but not limited to text, graphics, logos, images, software, and the compilation thereof, are the exclusive property of Novadrive and are protected by copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of our content without our prior written consent, except as permitted by applicable law or as expressly provided in these Terms.

Reports and analysis provided to clients remain the intellectual property of Novadrive, though clients receive a licence to use the delivered materials for their specific project purposes. Client project data and confidential information remain the property of the client.

Confidentiality

We understand that clients may share confidential and proprietary information with us. We commit to:

• Maintain strict confidentiality of all client information
• Use client information solely for providing agreed services
• Implement appropriate security measures to protect confidential data
• Not disclose client information to third parties without consent
• Return or destroy confidential information upon request

Limitation of Liability

Our services are provided on an "as is" and "as available" basis. While we strive to provide accurate and reliable analysis, we make no warranties, express or implied, regarding the completeness, accuracy, or suitability of our recommendations for any particular purpose.

To the maximum extent permitted by law, Novadrive shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services or reliance on our recommendations.

Our total liability for any claim arising from or relating to our services shall not exceed the total amount paid by you for the specific service giving rise to the claim.

This limitation of liability does not apply to damages caused by our gross negligence or wilful misconduct, or where prohibited by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Novadrive, its officers, directors, employees, and agents from and against any claims, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use of our services in violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Any inaccurate or misleading information you provide to us

Governing Law

These Terms and any disputes arising from or relating to our services shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.

Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of Sweden, and you hereby consent to personal jurisdiction and venue therein.

For EU residents, this does not affect your rights under applicable EU consumer protection laws or your right to bring proceedings in your country of residence.

Termination

Either party may terminate a service agreement with reasonable notice, subject to the terms of the specific agreement. We reserve the right to suspend or terminate your access to our services immediately if:

• You breach any provision of these Terms
• Your account becomes overdue for payment
• We suspect fraudulent or illegal activity
• We are required to do so by law

Upon termination, your right to use our services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, limitation of liability, and governing law.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Material changes will be communicated via email or prominent notice on our website.

Severability

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the intent of the original provision.
